Engagements & Scope of Work

All custom software engineering, cloud architecture, and technical consulting services provided by Tetralion Software are governed by these Terms and Conditions in conjunction with project-specific Statements of Work (SOW) or Master Services Agreements (MSA).

Each engagement defines the technical specifications, delivery milestones, acceptance criteria, and project dependencies. Any modifications to project scope must be agreed upon through a formal written change order.

Intellectual Property & Code Ownership

Custom Deliverables: Upon complete receipt of agreed-upon milestone payments, full ownership, copyright, and title to custom-engineered software source code, database schemas, and tailored UI assets developed specifically for the client are irrevocably assigned to the client.

Tetralion Core Tools & Pre-existing IP: Tetralion retains all right, title, and interest in its proprietary frameworks, reusable utility libraries, foundational boilerplates, and developer tooling developed independently of the client engagement. Clients receive a perpetual, non-exclusive, worldwide, royalty-free license to utilize such components as embedded within their deliverables.

Open Source Software: Third-party open-source libraries integrated into software systems remain subject to their respective open-source licenses (e.g., MIT, Apache 2.0).

Acceptance Testing & Verification

Upon completion of a development milestone, Tetralion will deliver the build to a staging environment for client review.

The client will have an agreed acceptance verification window (standard 14 business days) to validate the build against the approved technical criteria.

Any functional defects identified during the acceptance window will be remediated by our engineering team promptly at no additional cost. Approval is deemed granted upon written confirmation or upon production deployment.

Client Responsibilities

Successful software engineering requires active collaboration. Clients agree to provide timely technical inputs, access to relevant third-party APIs or infrastructure credentials, and designated points of contact for review and milestone sign-offs.

Delays resulting from client-side blockers or delayed access may require proportional schedule and milestone adjustments.

Confidentiality & Non-Disclosure

Both parties agree to protect and maintain the confidentiality of all proprietary business, financial, and technical information disclosed during the engagement.

Confidential information shall only be disclosed to employees, contractors, and legal advisors who have a legitimate need to know and are bound by confidentiality obligations no less stringent than those herein.

Warranties & Technical Support

Tetralion warrants that all software delivered under contract will perform substantially in accordance with the agreed technical specifications and will be engineered using professional standards of craftsmanship.

Unless otherwise specified in an ongoing Service Level Agreement (SLA), Tetralion provides a 30-day post-launch warranty period during which critical defects attributable to our engineering will be remediated at no charge.

Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption.

Tetralion's aggregate liability arising out of or related to an engagement shall be limited to the total fees actually paid by the client under the specific Statement of Work during the preceding six (6) months.

Governing Law & Dispute Resolution

These Terms and Conditions and any associated contracts shall be governed by and construed in accordance with the applicable laws of Pakistan, without regard to conflict of law provisions.

The parties commit to resolving disputes amicably through good-faith executive consultation before initiating formal legal proceedings.
